Terms of business
- Application
- These are the terms on which JT Finishing Solutions Limited ("JTFS") is willing to supply services to you. They supersede all prior agreements between you and JTFS.
- No variation to these terms, nor any other terms or conditions proposed by you, shall be of any effect unless recorded in a written document signed by JTFS. You confirm that any statement made to the contrary by you or on your behalf shall not apply to this order.
- You confirm that you are not relying on any statement made by or on behalf of JTFS, other than statements recorded in a written document signed by JTFS.
- Cancellation
- Unless otherwise specified in writing JTFS will have no obligation to modify, adapt or alter its services to be compatible with the goods supplied by you, and reserves the right in its absolute discretion to cancel the contract for services if upon inspection of the goods it becomes apparent that the goods are not compatible with the services requested.
- Once JTFS has accepted an order it may not be cancelled, or modified by you, except with JTFS' prior written consent. Charges may be made as a condition of such consent.
- Price
- Prices quoted by JTFS exclude VAT, taxes, duties and, where applicable, the cost of delivery and insurance, all of which will be charged separately at the rates required by law or, in the absence of such a rate, at JTFS' prevailing rates.
- Prices may be increased to reflect any increase to JTFS in the cost of complying with the agreement, to the extent that such increase was beyond the reasonable control of JTFS.
- Payment
- Payment is due, in cleared funds, within 30 days from the date of invoice.
- If payment is not made on the due date JTFS may suspend the provision of any services it is providing to you and you must also pay interest on the overdue payment at 8% over the base rate of The Royal Bank of Scotland Plc.
- Insurance
- Whilst your goods are with us they will continue to be at your risk from an insurance perspective. You should continue to insure your goods against damage, theft and other risks and you should notify your insurers that you have left the goods with us.
- Time for Performance
- JTFS will use reasonable endeavours to have the goods ready for collection or delivery by the estimated completion date.
- JTFS will have no liability for failure to meet dates for collection or delivery of the goods.
- Time is not of the essence and you may not cancel for late collection or delivery of the goods.
- JTFS will be deemed to have completed its services when it advises you that the goods are ready for collection at its premises and (unless JTFS has agreed to arrange delivery) you must collect your goods within 14 days. If you fail to do so storage charges may be made, and failure to pay storage charges will incur interest in accordance with paragraph 4(b) above.
- Delivery
- If JTFS agrees to arrange delivery it will do so with a reputable carrier, as your agent. You must pay the costs incurred plus a reasonable fee for JTFS' work in arranging delivery. Delivery is at your insurance risk and JTFS will have no responsibility for loss or damage in transit, loading or unloading.
- If your goods are not collected within 3 months of notification by JTFS, JTFS shall have the right to sell your goods at auction and deduct all outstanding fees including storage charges and interest, from the sale proceeds.
- Lien
- JTFS has a right to retain possession of any of your goods until you have paid in full to JTFS any and all charges properly incurred for work done to your goods.
- Limit of Liability
JTFS' liability under these terms and conditions shall be limited as follows and you are advised to read the following carefully:- You must notify JTFS of any apparent defect in the services provided
within one month:
- from the date of collection by you of the goods; or
- from the date of despatch of the goods to you.
- You must (if JTFS so require) return the defective goods to JTFS at your expense. When returning any goods, a copy of the original sales invoice must be enclosed and you should obtain a certificate of postage.
- JTFS shall not be liable for any indirect, economic, or consequential loss of any nature whatsoever.
- JTFS' liability shall be limited to either:
- remedying the defective services; or
- refunding that part of the price that relates to the defect.
- JTFS may elect in its absolute discretion which of these options to follow.
- JTFS shall never have a liability that is greater than the price paid by you to JTFS for providing its services.
- Nothing in these terms and conditions shall limit JTFS' liability for death or personal injury caused by its negligence.
- You must notify JTFS of any apparent defect in the services provided
within one month:
- General
- Any failure by JTFS to insist on its strict rights under this Agreement shall not be deemed to be a waiver of those (or any other rights) and only a duly executed written release shall constitute such a waiver.
- If any of these terms and conditions are deemed invalid or unenforceable the remainder shall be unaffected.
- JTFS shall not be liable for failure to perform any obligation to you where such failure is due to circumstances beyond JTFS' reasonable control.
- The services are provided for your benefit only and may not be relied upon by anyone other than you. The Contracts (Rights of Third parties) Act 1999 shall not apply to these terms and conditions.
- JTFS' dealings with you shall be governed by English law and the parties agree to submit to the exclusive jurisdiction of the English courts.
